About the Law Offices of Stanley M. Dub

Our law practice focuses on franchise law.  Roughly 2/3 of our work is for franchisees, but we also represent some smaller franchisors.

Services for prospective franchise buyers (due diligence):
We help prospective franchise buyers understand what they are buying by reviewing their FDD and Franchise Agreement.  Where changes are necessary, we negotiate those as part of our assignment.  We also offer help with starting the new business, including starting the corporation or LLC, helping with any loan agreements, and negotiating leases.

Services for new or regional franchisors:
New franchisors need to understand the legal playing field, and they need expert help in writing their agreement and FDD, and complying with different states’ laws.  We offer all of those services and have helped start a number of franchises.

Services for current or former franchisees:
Sometimes franchise buyers end up regretting their purchases and want to exit their systems.  We can sometimes help them do that, although the situation varies from state to state and for different franchise systems.  Sometimes disclosure violations when they signed their agreement (for example, mistakes in preparation of the FDD) can give a franchise buyer the right to exit the system and even get their money back.

Sometimes franchisors try to terminate agreements when the franchisee wants to remain in the system.  Franchisors have many legal advantages, but a franchisee can often negotiate with the franchisor at such times and end up with a better result.

Expert witness/legal consulting services you provide to other law firms on Ohio franchise statute:
Mr. Dub served on the committee that wrote the recent amendments to Ohio’s Business Opportunity Law.  He is frequently contacted by other Ohio attorneys to consult on disputes, or to testify as an expert witness in court cases or arbitrations.
